Terms of Service

1. OVERVIEW

This website is operated by International Business Advisors DMCC (“IBA DMCC”). Throughout the site, the terms “we”, “us” and “our” refer to IBA DMCC. IBA DMCC offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
By visiting our site and/or purchasing services from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.
Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. 2. GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time.
You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the service, use of the service, or access to the service or any contact on the website through which the service is provided, without express written permission by us.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

3. TERMS OF BUSINESS

In consideration for us accepting your instructions, you agree
(i) To ensure that the source of all relevant assets are lawful and do not derive in any way from any illegal activity,
(ii) That all matters with which we become involved will be lawful and will comply with all relevant laws and regulations,
(iii) That we shall be entitled to remuneration of our fees and to reimbursement of all expenses,
(iv) That you will ensure that all structures established by us for you are at all times sufficiently funded,
(v) To meet all liabilities as and when they fall due (including, but not limited to, our fees and expenses), and
(vi) That you will at all times provide us with sufficient timely information in order to permit us to provide a proper and complete service.

4. YOUR RESPONSIBILITIES

Generally, you are legally responsible for correct filings to authorities in relation to your affairs and for payment of any fees on time. It is essential that we as your agent are supplied with all relevant information.
If we ask you for information and it is not provided within the timescale requested, so that the preparation and submission of necessary filings are delayed, we accept no responsibility for any penalty or interest that may arise. Failure to meet legal deadlines may result in financial penalties and/or interest being charged.

5. COMPLIANCE

We are required by law to perform appropriate due diligence with respect to all new clients. In this respect we will require you to supply us with documents and other information. If you are unable or unwilling to provide us with the necessary documents then we will be obliged to suspend our agreement or terminate it as required.

6. FEES

We charge for our services in a number of ways. Our fees are normally based upon the degree of responsibility and skill of staff involved and the time necessarily occupied on the work, plus the reimbursement of our outlays. Unless otherwise agreed, they will be charged separately for each service.
Some services (particularly relating to the establishment of structures, such as companies) are charged on a fixed fee basis, details of which are provided to you.
We may request that you pay a reasonable amount on account, particularly at the beginning of our working relationship.

7. AUTHORISED PERSONS

Everyone is legally responsible for his own affairs and should, in principle, be dealt with independently.
However, you may authorise one or more persons to give instructions to IBA DMCC and accordingly these persons should read these Terms of Service.

8. USE OF OUR NAME

The IBA DMCC name, brand and logo (our ‘identity’) may not be quoted or used by you in any way without our prior express written permission

9. CONFIDENTIALITY AGREEMENT

In performing our obligation under any letter of engagement, IBA DMCC agrees that we shall comply with all applicable laws, including data privacy and protection laws and additional non-disclosure agreements executed or regulatory or court orders.
IBA DMCC further confirms that proper internal controls are in place to protect a client’s right to privacy and maintain the confidentiality of all information disclosed by you, your employees, agents and representatives.
IBA DMCC may in certain circumstances be required by law to report to the UAE Financial Intelligence Unit or other governmental authorities any evidence or suspicion we have of money laundering or crime in general. In such an event, we are prohibited from notifying our client of the fact or content of such a report.
IBA DMCC will take steps that we in good faith think fit to keep appropriate information confidential during and after our engagement with the agreement of the client that we/IBA DMCC will be complying sufficiently with our duty of confidence.

10. DATA PROTECTION

To enable IBA DMCC to discharge the services agreed under our engagement, and for other related purposes including updating and enhancing client records, analysis for management purposes and statutory returns, crime prevention and legal and regulatory compliance, we/IBA DMCC may obtain, use, process and disclose personal data about the company, its officers and employees.

11. THIRD PARTY RIGHTS

Our services/advice is being provided to the client for their sole use and does not constitute service/advice to any third party to whom you/the client may communicate it. Our service/advice should not be made available to any third party without our prior written permission and we accept no responsibility to third parties for any decisions made based on the content of our service/advice without such permission. For the avoidance of doubt, IBA DMCC confirms such permission will not be unreasonably withheld.

12. UNFORESEEN CIRCUMSTANCES

We/IBA DMCC shall have no liability to a client for loss, damage, claims or expenses to the extent arising from matters which are beyond our reasonable control in connection with our provision of services and advice.

13. CHANGES TO TERMS OF SERVICE

You can review the most current version of the Terms of Service at any time at this page.
We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.

14. LAW AND JURISDICTION

Any agreement entered into by IBA DMCC shall be governed by and construed in accordance with the Laws of UAE (as well as DIAC Laws and regulations, as applicable). Any dispute arising out of or in connection with any agreements with IBA DMCC including any question regarding its existence, validity or termination, shall be referred to arbitration and finally resolved pursuant to the rules of the Dubai International Arbitration Centre.
