5. Terms of Business
In consideration for IBA DMCC accepting your instructions, you agree:
- To ensure that the source of all relevant assets is lawful and does not derive from any illegal activity;
- That all matters in which we become involved will be lawful and will comply with all applicable laws and regulations;
- That IBA DMCC shall be entitled to remuneration of our fees and reimbursement of all expenses incurred on your behalf;
- That you will ensure any structures established by us for you are sufficiently funded at all times;
- To meet all liabilities as and when they fall due, including but not limited to our fees, expenses, and any government or third-party charges; and
- That you will provide us with sufficient and timely information to permit us to deliver a proper and complete service.
6. Your Responsibilities
You are legally responsible for correct and timely filings to relevant authorities in relation to your affairs and for payment of any applicable fees.
It is essential that we, as your agent or advisor, are supplied with all relevant information in a timely manner. If we request information and it is not provided within the timescale requested, resulting in delayed preparation or submission of necessary filings, we accept no responsibility for any penalty, interest, or other adverse consequence that may arise.
Failure to meet legal deadlines may result in financial penalties, interest charges, licence suspension, or other regulatory consequences.
7. Compliance and Due Diligence
We are required by UAE law to perform appropriate due diligence (Know Your Customer / Anti-Money Laundering checks) with respect to all clients. You will be required to provide identification documents, proof of address, source of funds documentation, and other information as we may reasonably request.
If you are unable or unwilling to provide the necessary documents and information, we shall be entitled to suspend or terminate our engagement as required by law or our internal compliance policies.
IBA DMCC may be required by law to report to the UAE Financial Intelligence Unit (FIU) or other governmental authorities any evidence or suspicion of money laundering, terrorism financing, or other criminal activity. In such circumstances, we are prohibited from notifying you of the fact or content of such a report.
8. Fees and Payment
Our fees are determined on an engagement-by-engagement basis and depend on the nature, complexity, and scope of the services requested. Specific pricing, payment schedules, and terms will be set out in your individual service agreement, proposal, or engagement letter.
Our fees may be structured as:
- Fixed fees for defined service packages
- Time-based fees reflecting the skill and time of staff involved
- A combination of fixed and variable components
Unless otherwise agreed in writing, our professional fees are charged separately from government fees, third-party charges, and disbursements, which are passed through at cost.
We may request payment on account (deposit) prior to commencing work, particularly at the start of a new engagement.
9. Cancellation and Refunds
Cancellation and refund terms are determined on a case-by-case basis and will be specified in your individual service agreement or engagement letter.
As a general principle:
- Government fees, authority charges, and third-party costs paid on your behalf are typically non-refundable once submitted
- Professional fees for work already completed are non-refundable
- Unused portions of advance payments may be refundable, less any costs incurred

10. Authorised Persons
Every individual or entity is legally responsible for their own affairs and should, in principle, be dealt with independently.
You may authorise one or more persons to give instructions to IBA DMCC on your behalf. Such authorisation should be provided in writing, and the authorised persons shall be bound by these Terms. We are entitled to rely on instructions received from authorised persons without further verification.
11. Confidentiality
IBA DMCC agrees to maintain the confidentiality of all information disclosed by you, your employees, agents, and representatives in connection with our engagement.
We have implemented appropriate internal controls to protect your right to privacy and maintain confidentiality. We shall comply with all applicable laws, including data privacy and protection laws, and any additional non-disclosure agreements executed between us.
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no fault of IBA DMCC
- Was already known to us prior to disclosure
- Is required to be disclosed by law, regulation, or court order
- Is disclosed with your prior written consent
12. Data Protection
To enable IBA DMCC to discharge the services agreed under our engagement, we may obtain, use, process, and disclose personal data about you, your company, its officers, shareholders, and employees.

- Our total aggregate liability for any claim arising out of or in connection with our services shall not exceed the fees paid by you for the specific service giving rise to the claim;
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business opportunity, or goodwill; and
- We shall not be liable for any loss arising from your failure to provide accurate, complete, or timely information.
Nothing in these Terms shall exclude or limit liability for fraud, wilful misconduct, or any liability that cannot be excluded by applicable law.
